Valley Boys

Terms of Service

Version v1-2026-11-01 · Effective November 1, 2026

These Terms of Service (the “Terms”) are a legally binding agreement between you and Valley Boys (“Valley Boys,” “we,” “us,” or “our”) concerning your access to and use of the Valley Boys website, player profiles, recruiting tools, training programs, messaging, booking, and related products and services (collectively, the “Platform”). The Platform lives at valleyboysbaseball.com.

Please read these Terms carefully. By creating an account, clicking “I agree,” or otherwise using the Platform, you agree to be bound by these Terms.

If you are creating or using an account for a player under 18, you represent that you are the player’s parent or legal guardian, or otherwise have legal authority to act on the player’s behalf, and you agree to these Terms both individually and on behalf of the player, to the extent permitted by law.

Two separate documents you may also see. In-person baseball instruction and other physical activities may require a separate Assumption of Risk, Waiver and Release. Any use of a player’s name, image, likeness, voice, or video in Valley Boys advertising or promotion is governed by a separate Media and Likeness Release — accepting these Terms alone does not grant that promotional use.

1. What Valley Boys is

Valley Boys is a youth travel baseball organization based in Arizona. The Platform provides:

We may modify, improve, or discontinue features in our reasonable discretion, subject to applicable law and any obligations concerning paid services.

2. Coaches and instruction

Coaching on the Platform is provided by Valley Boys coaches and staff as part of the program. Valley Boys does not operate a marketplace of independent coaches, and nothing in these Terms makes a coach your employee or agent, or vice versa.

We do not guarantee the availability of a particular coach, any particular athletic, recruiting, or developmental result, a roster position, scholarship, showcase invitation, or other opportunity, or the suitability of any training program for an individual player. You remain responsible for deciding whether a particular coach, training activity, facility, and instructional arrangement are appropriate for you or your child.

We may cancel or modify a booking when reasonably necessary because of coach unavailability, safety concerns, Platform violations, payment issues, facility problems, or circumstances outside our reasonable control. Any refund or credit is governed by the booking terms shown at purchase and by applicable law.

3. Eligibility and players under 18

You must be legally capable of entering into these Terms. A player under 18 may use the Platform only through or with the authorization and supervision of a parent or legal guardian. A parent or legal guardian creating or authorizing an account for a minor represents that they:

For a child under 13, the parent or legal guardian creates and controls the account, and our collection and use of the child’s information is governed by the parental-consent process described in our Privacy Policy. We may require age verification, parental verification, or additional consent before allowing access to particular features.

4. Accounts

You agree to provide accurate, current, and complete information and to keep it accurate. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account, except to the extent caused by Valley Boys or prohibited by applicable law. You may not sell, transfer, share, or permit unauthorized use of your account. Notify us promptly at [email protected] if you believe an account or credential has been compromised. We may require identity verification when reasonably necessary for security, legal compliance, fraud prevention, or protection of minors.

5. Public profiles and your privacy controls

Your scout profile is public only when it is live, and only the information you choose to publish appears on it. By design:

You control these settings from your profile. Changing a setting to hidden removes that content from public view going forward; copies already shared or downloaded by others are outside our control.

6. Lessons, programs, and payments

Prices, duration, and other material terms for a lesson, program, evaluation, or other purchase are shown before you buy, and the price and terms shown at purchase control. Payments made through the Platform are processed by Stripe or another third-party payment processor we designate. By providing a payment method, you represent that you are authorized to use it and you authorize the charges for purchases you initiate. We do not store complete payment-card numbers where processing is performed by a third-party processor. You are responsible for applicable taxes, fees, and charges disclosed in connection with a transaction.

Training program content (videos, written programming, drills, and materials) is licensed, not sold, to the purchasing user: a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and view it solely for that user’s personal, noncommercial training during the applicable access period. You may not, except with our prior written permission or as expressly permitted by law: download program content where downloading is not expressly enabled; copy, reproduce, or redistribute it; screen-record, capture, repost, or publicly display it; sell or sublicense it; share account credentials to permit unauthorized access; remove proprietary notices; or use it to build a competing content library or training service.

7. Cancellations and refunds

The cancellation, rescheduling, and refund terms for a particular lesson, program, event, or purchase are disclosed at or before the time of purchase, and you are responsible for reviewing them before completing a transaction. Nothing in these Terms eliminates any refund, cancellation, or other consumer right that cannot lawfully be waived. Questions: [email protected].

8. Recurring payments

Where a purchase is offered as a recurring payment (for example, a monthly season payment), we will disclose the price, billing frequency, term, automatic-renewal terms, and cancellation method before you enroll. By enrolling, you authorize us or our payment processor to charge the disclosed amount, plus applicable taxes, at the disclosed interval until you cancel. Cancellation generally prevents future charges but does not automatically entitle you to a refund for a period already purchased, except where the applicable terms or law provide otherwise. The price and billing frequency shown at checkout control over any illustrative price referenced elsewhere.

9. Your content

The Platform lets you upload photos, film, files, reports, messages, player information, statistics, performance information, and training data (“User Content”). As between you and Valley Boys, you retain ownership of User Content that you own. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, display, transmit, format, modify as technically necessary, and otherwise use User Content as reasonably necessary to: operate and provide the Platform; provide the coaching, training, analytics, and player-development functionality you requested (including displaying your public scout profile as you configured it); maintain, secure, and improve the Platform; comply with legal obligations; and exercise other rights expressly authorized by you.

This operational license does not, by itself, authorize us to use a player’s identifiable photograph, video, name, voice, or likeness in public advertising or promotional materials. That use requires a separate Media and Likeness Release or other valid authorization.

10. Your responsibilities for content

You represent that you have the rights and permissions reasonably necessary to provide your User Content for the uses contemplated by these Terms. You may not upload content that: infringes another person’s copyright, trademark, privacy, publicity, or other rights; contains unlawful, threatening, abusive, exploitative, or obscene material; improperly reveals another person’s sensitive personal information; contains malicious code or is intended to compromise the Platform; or otherwise violates these Terms or applicable law. We may remove or restrict access to User Content that we reasonably believe violates these Terms, infringes third-party rights, threatens safety or security, or creates legal risk.

11. Player data and analytics

Depending on the features you use, we may process player videos, questionnaire responses, performance information, training history, measurements, test results, and other player-development information. Our collection, processing, retention, disclosure, and deletion of personal information is governed by our Privacy Policy and applicable law.

Nothing in these Terms transfers ownership of an individual’s personal information to Valley Boys merely because it is processed through the Platform. We own our proprietary software, methodologies, analytics systems, scoring systems, models, compilations, and other Valley Boys-created technology, as well as aggregated or de-identified information and derived analytics to the extent permitted by applicable law and our Privacy Policy.

12. Athletic and medical disclaimer

We provide training, educational, informational, and technology services. We do not provide medical diagnosis, treatment, physical therapy, or individualized medical advice. Information provided through the Platform, our coaches, analytics, or program content is not a substitute for advice from a physician or other appropriately qualified healthcare professional. Athletic training and baseball activities involve inherent risks of injury. Before participating in physical training, you are responsible for considering your health and physical condition and obtaining medical clearance when appropriate. If a player experiences pain, dizziness, illness, injury, or other concerning symptoms, stop the activity and seek appropriate medical attention.

Participation in physical lessons or activities may require acceptance of our separate Assumption of Risk, Waiver and Release.

13. No performance guarantee

Baseball development depends on numerous factors outside our control. We do not guarantee improvements in velocity, strength, mechanics, statistics, playing time, recruiting status, college admission, scholarships, draft position, professional contracts, team selection, or any other athletic or career outcome. Testimonials, coach statements, analytics, projections, and examples of player results do not constitute guarantees that another player will achieve comparable results.

14. Conduct and safety involving minors

Users must interact with coaches, players, parents, employees, and other Platform participants appropriately and lawfully. You may not use the Platform to: harass, threaten, or exploit another person; engage in inappropriate communications with a minor; circumvent safety controls or communication requirements; commit fraud or misrepresent identity; interfere with Platform operation or security; scrape, harvest, or systematically extract Platform information without authorization; reverse engineer the Platform except to the extent such restriction is prohibited by law; obtain unauthorized access to accounts, systems, or information; violate intellectual-property rights; or engage in conduct we reasonably determine presents a material safety, legal, security, or integrity risk.

We place particular importance on appropriate communications and conduct involving minor athletes. Where the Platform provides communications, users and coaches must comply with our applicable minor-safety policies and communication protocols. We may monitor, preserve, or review Platform communications to the extent disclosed in our Privacy Policy and permitted by law for safety, security, dispute resolution, and compliance purposes. Suspected abuse, exploitation, or other conduct creating an immediate safety risk should be reported to appropriate authorities. Platform safety concerns may also be reported to us at [email protected].

15. Intellectual property

Except for User Content and third-party materials, the Platform and its contents, features, functionality, software, code, designs, graphics, interfaces, trademarks, logos, curricula, program content, compilations, analytics systems, and other proprietary materials are owned by or licensed to Valley Boys and are protected by applicable intellectual-property laws. Valley Boys branding, including the graffiti wordmark, may constitute trademarks or service marks of Valley Boys. Some program content is co-branded and used under license (for example, Gas House Gang program content); that license does not grant users any independent right in the co-brand owner’s marks or content. No rights are granted except those expressly stated in these Terms.

16. Copyright complaints

We respect intellectual-property rights and expect our users to do the same. We may remove or disable access to material that we reasonably believe infringes intellectual-property rights and may terminate repeat infringers in appropriate circumstances.

Notices of claimed copyright infringement should be sent to our designated copyright agent at [email protected] and should contain the information required by applicable law, including identification of the copyrighted work, identification and location of the allegedly infringing material, contact information for the complaining party, the required good-faith statement, the required accuracy/authority statement, and a physical or electronic signature.

17. Suspension and termination

You may stop using the Platform at any time, subject to outstanding payment obligations and applicable cancellation provisions. We may suspend or terminate an account, restrict particular functionality, or remove content when reasonably necessary because of: material violation of these Terms; safety concerns; fraud or payment disputes; misuse of the Platform; infringement of third-party rights; conduct involving minors that violates our policies; legal or regulatory requirements; or a material threat to the security or integrity of the Platform. Where reasonably appropriate, we may provide notice or an opportunity to cure before termination, but immediate action may be taken when we reasonably determine that safety, security, legal compliance, or protection of users requires it.

18. Availability

We will use commercially reasonable efforts to operate the Platform but do not guarantee uninterrupted or error-free service. The Platform may be unavailable because of maintenance, upgrades, third-party failures, security events, internet or telecommunications failures, force majeure events, or other circumstances. We may modify or discontinue free features at any time. Material changes to paid services will be handled in accordance with applicable contractual and consumer-protection requirements.

19. Disclaimers

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent such warranties may lawfully be disclaimed. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure, or that any coach, content, analytic, recommendation, or training program will produce a particular result. Nothing in these Terms disclaims a warranty or consumer right that applicable law does not permit us to disclaim.

20. Limitation of liability

To the maximum extent permitted by law, Valley Boys and its members, officers, employees, and agents shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost opportunities, or loss of data, arising from or relating to the Platform, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the greater of: the amounts paid by the user to Valley Boys during the twelve (12) months immediately preceding the event giving rise to the claim; or one hundred dollars ($100) if the user has paid Valley Boys nothing during that period.

The foregoing limitations do not apply to liability that cannot lawfully be limited or excluded. The separate Assumption of Risk, Waiver and Release applicable to physical participation may contain additional provisions concerning risks arising from baseball instruction and athletic activities.

21. Indemnification

To the extent permitted by law, an adult user agrees to indemnify and hold harmless Valley Boys and its members, officers, employees, and agents from third-party claims, damages, liabilities, judgments, and reasonable costs arising from: the user’s material violation of these Terms; User Content submitted by the user in violation of another person’s rights; the user’s unlawful or fraudulent conduct; or the user’s misuse of the Platform. This provision does not require a consumer to indemnify Valley Boys for Valley Boys’ own conduct where such indemnification is prohibited by law.

22. Dispute resolution; arbitration; class-action waiver

Please read this section carefully. It affects legal rights.

Except for disputes that qualify for small-claims court, claims seeking emergency injunctive relief concerning intellectual property, confidentiality, unauthorized access, or safety, and claims that applicable law prohibits from being arbitrated, the parties agree that disputes arising from or relating to these Terms or the Platform shall be resolved by individual binding arbitration rather than a trial before a judge or jury.

Before commencing arbitration, the claimant shall provide written notice describing the dispute and requested relief. The parties will attempt in good faith to resolve the matter informally for at least thirty (30) days after receipt of the notice. If unresolved, the dispute shall be administered by the American Arbitration Association pursuant to its applicable consumer arbitration rules, on an individual basis.

To the maximum extent permitted by law, neither party may bring or participate in a class, collective, consolidated, or representative action or arbitration against the other.

We will not require a consumer to pay arbitration costs that applicable law or the administrator’s consumer rules require us to bear. If this arbitration provision is found unenforceable as to a particular claim or remedy, that claim or remedy shall proceed in a court of competent jurisdiction while the remainder of this section is enforced to the maximum extent permitted by law.

23. Governing law

Except to the extent superseded by federal law, mandatory consumer law, or the arbitration provisions above, these Terms shall be governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Nothing in this section deprives a consumer of protections afforded by mandatory law applicable to that consumer.

24. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will provide notice as required by applicable law and will identify the updated effective date. Where applicable law requires affirmative consent to a particular change, we will obtain that consent before applying the change. Continued use after an effective change may constitute acceptance where permitted by law.

25. Electronic communications

You consent to receive transactional communications and legally required notices electronically, including by email, Platform notification, or other electronic method permitted by law. Marketing text messages and other communications requiring separate consent will be sent only pursuant to the consent required by applicable law. You are responsible for maintaining current contact information.

26. Assignment

You may not transfer your account or assign these Terms without our consent. We may assign these Terms in connection with a merger, financing, reorganization, sale of assets, change of control, or transfer of the Platform, subject to applicable law.

27. Severability; no waiver

If a provision of these Terms is determined to be invalid or unenforceable, it will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect. Our failure to enforce a provision on one occasion does not waive our right to enforce that provision later.

28. Entire agreement; additional terms

These Terms, together with the Privacy Policy and any additional terms affirmatively accepted in connection with a particular Valley Boys product or service, constitute the agreement governing use of the Platform. The separate Assumption of Risk, Waiver and Release governs physical participation in applicable coaching, training, and athletic activities. Any separate Media and Likeness Release governs the promotional use authorized by that release. If additional terms expressly state that they supersede a provision of these Terms with respect to a particular service, the more specific provision will govern that service.
